Complaxion LLC (“Complaxion,” “we,” or “us”) provides its content on complaxion.com and on any website or application that links to these Terms of Use (together, the “Site”), subject to the following terms and conditions (the “Terms”). We may change these Terms from time to time without prior notice, so please check back periodically. These Terms were last updated on October 15, 2026.
By accessing and using the Site, you agree to these Terms.
1. Copyrights
All content and functionality on the Site, including text, graphics, logos, icons, images, and videos, and the selection and arrangement of them, together with the concepts, know-how, frameworks, methods, tools, models, research findings, and industry perspectives underlying or embedded in any of them, and any enhancements to or derivative works of the foregoing (the “Site Content”), is the exclusive property of Complaxion or its licensors and, to the extent applicable, is protected by U.S. and international copyright laws. Site Content includes Complaxion’s research and proprietary frameworks for HAIbrid Workforce Management, Capabilities to Change Features Framework (C2F2) and River of Cash Analysis™ (ROCA™).
Some Site Content includes material owned by third parties, which is reproduced with permission or under license and credited where it appears. The license in Section 3 does not extend to that material; contact its owner for any reuse.
Neither the Site Content nor the functionality of the Site may be copied, reproduced, modified, reverse engineered, altered (including by removing or disabling any security or technological safeguard, disclaimer, or notice), uploaded, published, posted, transmitted, or distributed in any way without our written permission, except for the uses described in Section 3, Use of Site Content. All rights not expressly granted are reserved.
2. Trademarks
The trademarks, service marks, designs, and logos displayed on the Site, including Complaxion, HAIbrid, ROCA, C2F2, the Complaxion logo, and the names of our frameworks and methods (collectively, the “Trademarks”), are the registered and unregistered Trademarks of Complaxion and its licensors.
You may quote, cite, and link to Site Content to inform others, including in articles, research, presentations, teaching materials, and social media posts, provided that you keep each quotation brief, attribute it to Complaxion, link to the source page where practical, and do not alter its meaning. Any other reuse requires our prior written consent. You may not use the Complaxion name, the Trademarks, or Site Content in advertising or promotion, or in any way that suggests Complaxion endorses, sponsors, or is affiliated with you or your products or services, without our prior written consent. You also agree not to use or reproduce the Trademarks in any way that is likely to cause confusion, or that takes unfair advantage of or harms Complaxion or its licensors, and not to use the Trademarks as metatags, keywords, or hidden text, or within prompts or instructions to an AI application, to divert traffic from, or to impersonate, Complaxion.
3. Use of Site Content
Complaxion grants you a limited, non-exclusive, non-transferable, revocable license, for as long as these Terms apply, to access, download, display, and print one copy of the Site Content on a single device solely for your internal, non-commercial use, provided that you do not modify the Site Content in any way (including by creating derivative works), you keep all copyright and other proprietary notices displayed on it, and you otherwise comply with these Terms. You may not otherwise reproduce, modify, reverse engineer, distribute, transmit, post, or disclose the Site Content without Complaxion’s prior written consent, except for quotations and citations permitted in Section 2. In addition:
You may not access, search, collect, mine, or extract data from the Site or the Site Content by any means, automated or otherwise, including by crawling or scraping, without Complaxion’s express written permission.
You may not use the Site or the Site Content to develop, test, validate, or improve any software program, model, algorithm, or generative AI tool. This includes training, fine-tuning, distilling, or grounding a machine learning or artificial intelligence (AI) system with the Site Content, and using the Site Content in retrieval-augmented generation or otherwise in the operation of such a system. These restrictions are an express reservation of rights under applicable copyright laws, including Article 4(3) of the EU Directive on Copyright in the Digital Single Market (Directive (EU) 2019/790).
You may not “mirror” the Site Content or any portion of it without Complaxion’s express written consent.
You may not use the Site in violation of applicable laws, including export controls and sanctions, or in violation of Complaxion’s or any third party’s intellectual property or other proprietary or legal rights.
Nothing on the Site grants, directly, indirectly, or by implication, any license or right to use any Complaxion intellectual property other than as expressly stated in this section. This license ends automatically and immediately if you do not comply with these Terms. If you do not comply with these Terms, or if we have reasonable grounds to suspect that you have not, we may take legal action, suspend your access to the Site, or take any other step we consider appropriate.
4. User submissions
Anything you submit or post through the Site, including through contact and consultation forms, questionnaires, survey responses, or comments (a “Submission”), remains yours. Complaxion keeps Submissions confidential, except for comments you choose to post in a public conversation on the Site, such as a blog comment thread, which other visitors can see. Complaxion will never publish, republish, quote, or cite a Submission, or attribute it to you, without your prior written approval, such as when you agree to let us use your words as a testimonial or review. We may use Submissions, such as survey responses, in aggregated and de-identified form in our research, in a way that does not identify you or your organization.
When you post a comment in a public conversation on the Site, you grant Complaxion a non-exclusive, royalty-free license to host and display it on the Site as part of that conversation. We will not republish or cite your comment anywhere else without your approval, and we may remove it at our discretion.
You agree not to post or otherwise publish on the Site any material that (a) is threatening, libelous, defamatory, or obscene; (b) would constitute, or encourages conduct that would constitute, a criminal offense, give rise to civil liability, or otherwise violate law; (c) infringes the intellectual property, privacy, or other rights of any third party; (d) contains a computer virus or other destructive element; (e) contains advertising; (f) contains false or misleading statements; or (g) violates these Terms.
Complaxion does not represent or endorse the accuracy or reliability of information posted to the Site by users, cannot review all such information, and is not responsible for it. We reserve the right to refuse to post, or to remove, any information, in whole or in part, for any reason or for no reason.
5. Notices of infringement and takedown
Complaxion prohibits posting any information that infringes or violates the copyright or other intellectual property rights, including rights of privacy and publicity, of any person or entity. If you believe that your intellectual property right, or a right you are responsible for enforcing, is infringed by content on the Site, please send Complaxion a written statement that contains: (a) identification of the copyrighted work or intellectual property right claimed to have been infringed; (b) identification of the allegedly infringing material on the Site that you are requesting be removed; (c) your name, address, daytime telephone number, and email address; (d) a statement that you have a good-faith belief that the use is not authorized by the owner, its agent, or the law; (e) a statement that the information in the notice is accurate and, under penalty of perjury, that the signatory is authorized to act on behalf of the owner of the right; and (f) the signature of the owner or of someone authorized to act on the owner’s behalf.
Complaxion will remove any Submission that infringes the copyright or other intellectual property right of any person under U.S. law on receipt of such a statement, or of any statement that conforms with 17 U.S.C. § 512(c)(3). U.S. law provides significant penalties for submitting such a statement falsely. In appropriate circumstances, people who repeatedly submit infringing or unlawful material will be prohibited from posting further Submissions.
Send notices under this section to info@complaxion.com.
6. Disclaimers
Complaxion is a HAIbrid organization: some Site Content is developed by Complaxion’s people working with AI tools. While Complaxion exercises editorial control over its publications, all Site Content is provided for informational purposes only, and Complaxion does not guarantee the accuracy, completeness, or error-free nature of any Site Content, including content generated or augmented by artificial intelligence.
THE CONTENT AND FUNCTIONALITY ON THE SITE ARE PROVIDED WITH THE UNDERSTANDING THAT COMPLAXION IS NOT HEREIN ENGAGED IN RENDERING PROFESSIONAL ADVICE OR SERVICES TO YOU. NO SITE CONTENT IS INTENDED TO SERVE AS, OR SHALL BE DEEMED, INVESTMENT, LEGAL, TAX, ACCOUNTING, EMPLOYMENT, OR OTHER REGULATED ADVICE. YOU REMAIN SOLELY RESPONSIBLE FOR YOUR USE OF ALL SITE CONTENT, AND ANY RELIANCE ON THE SITE CONTENT IS ENTIRELY AT YOUR OWN OPTION AND RISK. ALL CONTENT AND FUNCTIONALITY ON THE SITE ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. COMPLAXION AND ITS THIRD-PARTY CONTENT PROVIDERS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, AS TO THE OWNERSHIP, ACCURACY, OR ADEQUACY OF THE SITE CONTENT. COMPLAXION HAS NO LIABILITY OR RESPONSIBILITY FOR ANY INFORMATION PUBLISHED ON LINKED WEBSITES, CONTAINED IN ANY USER SUBMISSION PUBLISHED ON THE SITE, OR PROVIDED BY THIRD PARTIES. NEITHER COMPLAXION NOR ITS THIRD-PARTY CONTENT PROVIDERS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OR LOSSES, OR FOR LOST REVENUES OR PROFITS, WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES AND REGARDLESS OF THE THEORY OF LIABILITY.
7. Indemnification
You agree to indemnify, defend, and hold harmless Complaxion and its predecessors, successors, affiliates, members, managers, officers, employees, agents, representatives, and attorneys, and their respective heirs, successors, and assigns (the “Complaxion Indemnified Parties”), from and against any and all liabilities, damages, expenses, costs (including reasonable attorneys’ fees and the costs of investigating and remediating unauthorized access, scraping, or data extraction), and other losses incurred by any Complaxion Indemnified Party in connection with any claim arising out of your use of the Site or your breach of these Terms, including any representation, warranty, or covenant you made by agreeing to these Terms. Complaxion reserves the right to assume, at its own expense, the exclusive defense and control of any matter otherwise subject to indemnification by you.
8. Third-party websites and providers
We may provide links to third-party websites, and some content that appears on the Site may be supplied, supported, or provided directly or indirectly by third parties, for example through embedded content served from third-party servers. Complaxion has no responsibility for these third-party websites, which are governed by their own terms of use and privacy policies, if any.
Complaxion does not place third-party advertising or advertising trackers on the Site.
9. Governing law; jurisdiction; dispute resolution
9.1 Governing Law. These Terms are governed by the laws of the State of Arizona, without reference to its conflict-of-laws principles.
9.2 Informal Dispute Resolution. In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Site Content (collectively, "Disputes"), you and Complaxion agree to first attempt to resolve the Dispute informally.
Notice of Dispute: The party initiating the dispute must send a detailed, written "Notice of Dispute" to the other party. Notices to Complaxion must be sent via certified mail to Complaxion LLC’s statutory agent, as listed with the Arizona Corporation Commission, or via email to info@complaxion.com. The Notice must include your name, contact information, a detailed description of the facts underlying the dispute, and the specific relief you are seeking.
Good Faith Negotiation: Following receipt of the Notice of Dispute, you and Complaxion agree to engage in good-faith negotiations to resolve the issue for a period of sixty (60) calendar days.
Condition Precedent: You agree that this informal dispute resolution process is a requirement that must be satisfied before initiating any formal legal action or court proceeding. All applicable limitations periods and filing deadlines shall be tolled for the duration of this 60-day negotiation window. This Section 9.2 does not prevent either party from seeking temporary, preliminary, or permanent injunctive relief in court to stop actual or threatened infringement, misappropriation, or unauthorized access to, scraping of, or use of the Site or Site Content.
9.3 Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND COMPLAXION AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPLICITLY WAIVE YOUR RIGHT TO PARTICIPATE AS A CLASS REPRESENTATIVE OR CLASS MEMBER IN ANY CLASS LAWSUIT AGAINST COMPLAXION.
9.4 Jurisdiction. If a Dispute cannot be resolved through the Informal Dispute Resolution process outlined in Section 9.2, any subsequent legal action shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of those courts.
10. Advisory and research services
Any advisory, research, consulting, or software engagement with Complaxion is governed by a separate written agreement that sets out its scope, deliverables, and commercial terms. If that agreement conflicts with these Terms, the agreement controls for that engagement. Using the Site, or contacting us through it, does not by itself create a client relationship.
11. Subscriber accounts
If you register for an account or subscription, you are responsible for keeping your login credentials confidential and for all activity under your account.
12. Changes to these Terms
We may update these Terms from time to time. The “last updated” date at the top of these Terms shows when they were last changed. Your continued use of the Site after an update means you accept the updated Terms.
13. General
If any provision of these Terms, including the class action waiver in Section 9.3, is held unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with any separate written agreement described in Section 10, are the entire agreement between you and Complaxion about the Site. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Sections 1 through 9 survive any termination of your access to the Site.
